Ryan has a broad range of experience advising public and private clients  across a variety of industry sectors including IT and technology, energy and resources, transport and logistics, and hospitality. 

Ryan regularly advises clients in relation to: 

• M&A (public and private) 
• capital raisings (debt and equity), including foreign investment (FIRB) 
• commercial contracting arrangements including manufacturing, supply and distribution and IT/SaaS, and 
• corporate governance (public and private companies), including Corporations Act 2001 (Cth) and ASX Listing Rules. 

Ryan’s recent experience includes: 

• Acting for the founders in the divestment of a national medical services business to Sonic Healthcare Limited (ASX:SHL). 
• Acting for the founder in the divestment of a national water infrastructure services business to Saunders International (ASX:SND). 
• Assisting Australian based multinational agricultural product manufacturer with its group restructure and capital raising to fund expansion into US markets. 
• Advising leading Australia prop-tech company on its group restructure and capital raising activities. 
• Assisting Australian based sporting equipment distributor with global distribution arrangements and restructuring activities in advance of exit event. 
• Advising Fura Gems Inc. (formally TSX:FURA) in connection with its acquisition of Australian (Queensland) mining tenements (gemstone), including leading due diligence investigations and completing application for FIRB approval. 
• Advising Australian coal explorer (holding exploration licenses in the Puerto Montt and Puerto Natales regions, southern Chile) with an application for listing on ASX, including establishing a JORC resource, guiding the due diligence committee and leading on application to ASX for in-principle advice and subsequent application for listing on ASX. 
• Advising Sri Lanka entity holding mining licences for tenements (graphite) in Sri Lanka with a group restructure, including the establishment of an Australian holding company, and transfer of mining licences, in advance of proposed application for listing on ASX. 
• Advising foreign owned cryptocurrency exchange in connection with launch of Australian operations, including corporate structure. 
• Advising global transport and logistics provider in connection with restructure of share capital of Australian subsidiary. 
• Preparing website and App user terms of use for Australian based rideshare services provider.
